Laguna Point Properties — Investor Event Terms and Privacy Notice

These terms govern registration for and attendance at every private investor event we host — meetings, presentations, webinars, and calls, however delivered — and all materials, information, and recordings from them. They apply to each event unless we state otherwise in writing. Please read them before registering.
In these terms, “Laguna Point,” “we,” “us,” and “our” mean Laguna Point Management, LLC and Stone Coast Management, LLC, the investment entities they manage, and their affiliates, operating under the trade name “Laguna Point Properties.”

1. Who may attend
Our events are private and invitation-only, for existing investors in Laguna Point investment entities (or an authorized representative or professional advisor of one). It is not open to the public and is not a general solicitation. Your registration and join link are personal to you and may not be shared or forwarded; forwarded links will not admit anyone else. We verify every registration against our investor records, and we may deny or revoke any registration, or decline entry to anyone, at our discretion.
2. Your agreement
Checking the “I agree” box and submitting your registration is your acceptance of these terms, and it does three things at once: (1) it forms a binding agreement to everything on this page, (2) it is your confidentiality undertaking, and (3) it is your consent to the event being recorded (Section 4). We keep a record of who accepted, when, and which version of these terms they accepted, along with a record of attendance.
3. Confidentiality — a standalone undertaking
This section is a binding confidentiality agreement in its own right. It stands on its own: it applies independently of, and in addition to, any confidentiality provision in your investor or operating agreements, and nothing in those agreements limits or dilutes what you accept here. Where obligations overlap, the stricter one governs.
By registering for and joining the event, I confirm that I am an investor in one or more Laguna Point investment entities (or an authorized representative of one), and I agree that:
I understand that unauthorized recording, sharing, or disclosure is a breach of these terms.
These obligations survive the event indefinitely, for as long as the information remains non-public. They do not apply to information that is already public through no breach of yours, or to disclosure required by law (in which case, notify us first where lawful). You may share Confidential Information only with your own professional advisors who need it to advise you and who are bound to confidentiality at least as protective as these terms — you are responsible for their compliance.
A breach of this section would cause Laguna Point irreparable harm that money alone cannot remedy. You agree that Laguna Point is entitled to immediate injunctive relief, without posting a bond, in addition to every other remedy available to it.
4. Recording and your consent
Events may be recorded — audio, video, the presentation, and submitted questions. By registering and by joining, you consent to that recording. Attendee microphones and cameras are off by default, so your voice and image are not captured unless you are invited to speak and choose to; questions you submit may appear in the recording. A verbal reminder is given at the start of the event. If you do not consent to being recorded, keep your microphone and camera off and do not submit questions, or raise your concern with us at investors@laguna-point.com before the event. Any recording is our property and may be used for any lawful business purpose, including making a replay available to investors.
5. Not an offer of securities
This presentation is provided for informational purposes only. It is not an offer to sell or a solicitation of an offer to buy any security or interest, and no security will be sold in any jurisdiction where that would be unlawful. Any offer is made only through definitive offering documents — the private placement memorandum, operating agreement, and subscription documents for the relevant entity — which supersede this presentation in its entirety.
6. Forward-looking statements
The event contains forward-looking statements — statements about projections, distributions, refinancings, property performance, and plans, often signaled by words like “may,” “will,” “expect,” “intend,” “estimate,” “anticipate,” “believe,” and “continue.” They involve risks and uncertainties and may change without notice; actual results may differ materially. Specific risks for our business include interest-rate movements, lender actions and loan maturities, occupancy and rent trends, insurance costs, litigation, and capital-market conditions. Figures are preliminary and unaudited unless stated otherwise. We undertake no obligation to update any statement made at the event.
7. Information only — no advice, no reliance
Everything presented speaks only as of the event date. We make no representation or warranty as to accuracy or completeness, and nothing at the event is investment, legal, tax, or accounting advice. Past performance is not a guarantee of future results. Base any investment decision on the definitive offering documents and the advice of your own advisors, not on this presentation.
8. Ownership and limited license
All content is the confidential and proprietary information of Laguna Point. © 2026 Laguna Point Management, LLC. All rights reserved. Attendance grants a limited, personal, non-transferable right to view the live event only; no other license or right is granted. Any recording, reproduction, distribution, display, or public posting is prohibited and constitutes a breach of your confidentiality obligations. Laguna Point Properties reserves all rights and remedies available to it. Event content and the replay may carry a per-viewer identification watermark.
9. Conduct and our rights
Questions may be submitted for consideration; we decide, in our sole discretion, which questions are addressed and how — questions are answered, not debated, and submitting one creates no obligation that it be addressed. We may mute or remove any participant, deny or revoke any registration, or cancel or reschedule any event, at our discretion and without liability.
10. Platform and limitation of liability
The event is delivered on Microsoft Teams; your use of Teams is also subject to Microsoft’s own terms, and we are not responsible for the platform’s availability or its independent data practices. The event is provided “as is.” We are not liable for technical failures or interruptions, or for decisions made in reliance on event content, and our total liability in connection with the event is limited to the fullest extent the law allows.

Privacy Notice
Who we are. Laguna Point Management, LLC and Stone Coast Management, LLC (operating as Laguna Point Properties) host these events and are responsible for the personal information described here. Contact: investors@laguna-point.com.
What we collect. Your name, email address, investor/entity association, the questions you submit at registration or during the event, join and leave times, and standard device and log data. If you speak or turn on your camera, your voice and image become part of the recording.
Why. To run and secure the event; to verify you are on the invitation list; to send logistics, the replay link, and follow-up materials; to answer your questions; and to keep the records our business requires. We may also use your contact details for other Laguna Point investor communications.
Who we share it with. Service providers only: Microsoft (Teams hosting and recording storage), our investor-management system, and our email provider — each limited by contract to providing the service. We do not sell or share your personal information.
The recording. The replay is available only to invited investors, view-only with no download, watermarked, stored in our Microsoft environment, and never posted publicly.
Retention. Registration records, acceptance records, and the recording are kept as part of our investor-communications records for as long as they remain useful to investors and our recordkeeping requires, then deleted or archived.
Your rights. You may ask us to access, correct, or delete your information, or to opt out of non-essential communications, by emailing investors@laguna-point.com. California residents have these rights under the CCPA, and we will never treat you differently for exercising them.
Security. We use reasonable safeguards and limit access to personnel who need it.

Changes, governing law, and contact
Changes. We may update these terms; the effective date and version above will change, and material changes will be noted before the event. The version you accepted at registration is the one we keep on record.
Governing law. These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles – the same law that governs your investor agreements – and any dispute arising out of or relating to these terms or the event belongs exclusively in the state or federal courts located in Delaware.
